1. Acceptance of Terms

By accessing or using BrandInGang Movies ("Platform," "Service," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you must immediately discontinue use of the Platform. These Terms constitute a legally binding agreement between you and BrandInGang Movies. Your continued use of the Platform after any modifications to these Terms constitutes acceptance of those modifications.

2. Eligibility

You must be at least thirteen (13) years of age to create an account or use this Platform. If you are between 13 and 18 years of age, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. By using the Platform, you represent and warrant that you have the legal capacity to enter into a binding agreement in your jurisdiction. Users under 13 may only access the Platform through a parent-managed Kids Profile with parental controls enabled.

3. Account Registration & Security

To access certain features, you must register for an account. You agree to: (a) provide accurate, current, and complete information during registration; (b) maintain and promptly update your account information; (c) maintain the security and confidentiality of your login credentials; (d) accept responsibility for all activities that occur under your account; and (e) immediately notify us of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that contain inaccurate information or that we reasonably believe have been compromised. For support purposes, authorized Platform personnel may access your account in an impersonation capacity; such access is logged and disclosed upon request.

4. Subscription Plans & Billing

The Platform offers the following subscription tiers:

  • Free Tier: Full catalog access with server-side inserted advertisements. No payment required.
  • Standard Plan: $7.99 per month. Ad-free viewing experience.
  • Premium Plan: $14.99 per month. Ad-free viewing, early access to new releases, and 4K streaming where available.

All paid subscriptions are billed monthly on a recurring basis. By subscribing, you authorize us to charge your payment method on file automatically each billing cycle. Your billing descriptor will appear as "BIGMOVIES" on your statement. Subscriptions auto-renew unless cancelled before the end of the current billing period. Cancellation takes effect at the end of the current paid period; no partial refunds are issued. We do not offer free trials. Prices may change with thirty (30) days' prior notice; continued use after a price change constitutes acceptance of the new pricing.

5. Content & Intellectual Property

Creators retain full ownership of all content they upload to the Platform ("Creator Content"). By uploading Creator Content, you grant BrandInGang Movies a worldwide, non-exclusive (unless otherwise specified by your Creator Tier), royalty-bearing license to host, store, transcode, distribute, publicly display, publicly perform, reproduce, and promote your Creator Content on and through the Platform, including in marketing materials and social media. The Platform's own branding, software, design, and proprietary content are owned exclusively by BrandInGang Movies and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works of Platform-owned content without express written permission.

6. Creator Revenue Share

Creators earn sixty percent (60%) of all net revenue attributable to their content. The Platform retains forty percent (40%). Revenue includes both subscription revenue (allocated proportionally based on watch time) and advertising revenue (attributed to the content during which ads were displayed). Payouts are processed monthly via Stripe Connect. You must maintain an active Stripe Connect account in good standing to receive payouts. The minimum payout threshold is twenty-five dollars ($25.00); amounts below this threshold roll over to the following month. Revenue reporting is available in your Creator Dashboard. The Platform reserves the right to withhold payouts pending investigation of suspected fraud, policy violations, or chargebacks. Tax reporting (1099 forms for US creators) is issued annually for earnings exceeding applicable IRS thresholds.

7. Creator Content License & Tiers

The Platform offers three Creator Tiers with different licensing terms:

  • Creator (Default): No contract required. Non-exclusive license. You may distribute your content on other platforms simultaneously. You may remove content at any time with thirty (30) days' notice.
  • Partner: One (1) year exclusive license. During the exclusivity period, your content may not appear on competing streaming platforms. Enhanced promotional placement and higher visibility on the Platform.
  • Original: Two (2) year exclusive license. Content produced in collaboration with or commissioned by the Platform. Maximum promotional support and featured placement.

For all tiers, content removal requests require thirty (30) days' written notice to allow existing viewers to complete viewing. After the notice period, content is removed from public access. The Platform may retain archival copies for legal compliance purposes. Content removed for policy violations is taken down immediately without notice.

8. Advertising

The Platform utilizes Server-Side Ad Insertion (SSAI) technology to deliver advertisements to Free Tier users. Ads are inserted directly into the video stream and are unskippable. Ad revenue generated from your content is shared under the same 60/40 split described in Section 6. By using the Free Tier, you consent to receiving advertisements during content playback. The Platform determines ad placement, frequency, and content at its sole discretion. Creators may not insert their own advertisements into uploaded content without prior written approval.

9. Shop & Marketplace

Eligible Creators may sell merchandise and digital products through the Platform's integrated Shop. The Platform charges a commission of fifteen to twenty percent (15-20%) on each sale, depending on product category and Creator Tier. Creators are solely responsible for: (a) product quality and accuracy of descriptions; (b) fulfillment, shipping, and delivery; (c) customer service related to their products; (d) compliance with all applicable consumer protection laws; and (e) sales tax collection and remittance where required. The Platform processes payments and remits the Creator's share according to the standard payout schedule. Returns and refunds are handled according to the Creator's stated return policy, which must comply with applicable law.

10. Prohibited Conduct

You agree not to:

  • Upload, distribute, or transmit content that infringes any third-party intellectual property rights
  • Upload content depicting child sexual abuse material (CSAM) or exploitation of minors
  • Circumvent, disable, or interfere with security features, DRM, or access controls
  • Use bots, scrapers, or automated tools to access the Platform without authorization
  • Redistribute, download, screen-record, or re-stream Platform content
  • Engage in harassment, hate speech, threats, or doxxing of other users or creators
  • Artificially inflate view counts, engagement metrics, or revenue through fraudulent means
  • Use the Platform for money laundering, fraud, or any illegal purpose
  • Share account credentials or operate multiple accounts to circumvent restrictions
  • Upload malware, viruses, or any code designed to disrupt the Platform
  • Impersonate any person or entity, or misrepresent your affiliation
  • Solicit personal information from minors

11. Content Moderation & Removal

All uploaded content is subject to review by the Platform within seven (7) business days of submission. The Platform reserves the right to remove, restrict, or demonetize any content that violates these Terms, applicable law, or our Community Guidelines, at our sole discretion and without prior notice. Content removed for policy violations is taken down immediately. Creators will be notified of removal actions and may appeal through the designated appeals process within fourteen (14) days. Repeated violations may result in permanent account termination under our repeat infringer policy.

12. Children's Safety

The Platform complies with the Children's Online Privacy Protection Act (COPPA). Children under 13 may not create accounts independently. Parents or guardians may create Kids Profiles with parental controls that restrict content to age-appropriate material, disable social features, and limit data collection. The Platform does not knowingly collect personal information from children under 13 outside of parent-managed Kids Profiles. Creators uploading content intended for children must comply with all applicable regulations regarding children's content, including advertising restrictions. If we discover that a child under 13 has provided personal information without parental consent, we will delete that information promptly.

13. Privacy & Data

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.

14. Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BRANDINGANG MOVIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00). THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

15. Indemnification

You agree to indemnify, defend, and hold harmless BrandInGang Movies, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your Creator Content or products sold through the Shop; (c) your violation of these Terms; (d) your violation of any third-party rights, including intellectual property rights; or (e) any claim that your content caused damage to a third party. This indemnification obligation survives termination of your account and these Terms.

16. Dispute Resolution

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in the State of Florida, United States. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver: YOU AND BRANDINGANG MOVIES AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

Exceptions: Either party may bring claims in small claims court if eligible. Either party may seek injunctive relief in any court of competent jurisdiction for intellectual property infringement or unauthorized access to the Platform.

Governing Law: These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.

17. Termination

We may suspend or terminate your account immediately and without prior notice if you violate these Terms, engage in fraudulent activity, or if required by law. You may terminate your account at any time through your account settings. Upon termination: (a) your right to access the Platform ceases immediately; (b) for Creators, any outstanding revenue balance above the minimum threshold will be paid within sixty (60) days of termination, subject to fraud review; (c) content under exclusive license remains on the Platform for the duration of the exclusivity period unless terminated for cause by the Platform; (d) the Platform may retain data as required by law or legitimate business purposes as described in our Privacy Policy.

18. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide at least thirty (30) days' advance notice of material changes via email to the address associated with your account and/or through a prominent notice on the Platform. Your continued use of the Platform after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue use of the Platform and terminate your account before the effective date.
